Terms of Service.
These Terms govern the use of Forway Service websites, customer portals, consultations, digital services, marketplace operations, professional services, warehouse support, and related business services.
By visiting a Forway Service website, requesting a consultation, submitting information, purchasing a service, approving a proposal, creating an account, or continuing to use a service, you acknowledge that you have read and agreed to these Terms and any applicable written proposal, invoice, order summary, service scope, or additional policy.
Acceptance of These Terms
These Terms of Service form a binding agreement between the person or organization using the services, referred to as “Customer,” “you,” or “your,” and the Forway Service entity identified in the applicable invoice, proposal, checkout, or service agreement, referred to as “Forway Service,” “Forway,” “we,” “us,” or “our.”
If you use a service on behalf of a company or another legal entity, you represent that you have authority to bind that entity. If you do not agree with these Terms, you must not purchase, access, or continue using the relevant service.
A signed service agreement or written proposal may contain service-specific terms. If a direct conflict exists, the signed agreement controls for that service, followed by the proposal or invoice, then these general Terms.
Definitions
- Service
- Any consultation, professional work, digital product, marketplace-management activity, development work, eSIM or connectivity service, warehouse support, sourcing support, or other deliverable provided by Forway.
- Service Scope
- The written description of deliverables, exclusions, timing, responsibilities, and fees shown in a proposal, invoice, checkout page, order confirmation, or service agreement.
- Third-Party Platform
- A marketplace, carrier, payment processor, bank, filing agency, software provider, shipping carrier, warehouse, supplier, advertising platform, or other independent provider.
- Customer Materials
- Information, credentials, documents, media, trademarks, product data, files, and instructions provided by the Customer.
Eligibility and Legal Capacity
You must have legal capacity to enter into a binding contract. Business customers must have proper authority to purchase and use the services on behalf of their organization.
Certain services may require identity, business, tax, banking, marketplace, address, device, or eligibility verification. Forway may decline or pause a service when required information is missing, inconsistent, unlawful, or cannot reasonably be verified.
Services and Scope
Forway provides services that may include e-commerce operations, marketplace management, product research, supplier sourcing, listing support, advertising support, website and software development, virtual assistance, creative services, company formation support, eSIM or digital-connectivity services, warehouse preparation, logistics coordination, consultations, and related professional services.
Only the items expressly included in the applicable Service Scope are part of the purchased service. Any additional work, revision, integration, platform, marketplace, product, account, location, language, or deliverable may require a new quotation or written change approval.
- Service descriptions are estimates of intended work, not guarantees of a commercial outcome.
- Forway may use qualified employees, contractors, freelancers, virtual assistants, suppliers, or service partners.
- Operational methods may be adjusted when reasonably necessary to complete the agreed objective.
- Material scope changes require written approval and may change fees and timing.
Customer Responsibilities
You are responsible for:
- Providing complete, accurate, current, and lawful information.
- Reviewing spelling, account details, product information, documents, addresses, and instructions before submission.
- Responding to questions, approvals, access requests, and document requests within a reasonable time.
- Maintaining lawful ownership or permission for all Customer Materials.
- Maintaining adequate account security, backups, and recovery methods.
- Reviewing reports, drafts, listings, campaigns, products, designs, code, or filings before final approval when review is requested.
- Complying with marketplace rules, consumer-protection laws, tax duties, product laws, advertising rules, and other applicable requirements.
Delays, additional costs, rejections, suspension, or loss caused by incorrect information, missing approvals, prohibited products, expired documents, policy violations, or delayed responses are the Customer’s responsibility unless directly caused by Forway’s proven breach of the agreed Service Scope.
Marketplace and Store-Management Services
Marketplace services may involve Amazon, Walmart, TikTok Shop, Shopify, eBay, Etsy, Temu, or other sales channels. Each platform is independently operated and controls its own approvals, suspensions, listings, ranking, traffic, fees, payouts, advertising, account health, fulfillment, and policy enforcement.
Forway does not guarantee account approval, listing acceptance, category approval, reinstatement, ranking, buy-box performance, sales, revenue, profit, return on investment, advertising results, product success, or continued platform access.
Customers retain ownership and ultimate control of their stores, business entities, primary credentials, financial accounts, and inventory unless a separate written agreement clearly states otherwise. Customer-authorized user access may be used to perform the agreed work.
eSIM, Virtual Number, and Digital Services
eSIM, virtual-number, software-access, digital-account, and other electronically delivered services may depend on device compatibility, destination, network coverage, carrier rules, identity requirements, regional restrictions, third-party availability, and technical configuration.
- Customers must verify device and regional compatibility before purchase.
- Activation, delivery, validity, data allowance, calling, SMS, renewal, and coverage depend on the specific product.
- Digital codes, activated plans, assigned numbers, and delivered credentials may become non-refundable after issuance or activation.
- Forway is not the mobile-network operator unless expressly stated.
- Network quality and availability may vary by location and third-party provider.
Warehouse, Product Sourcing, and Logistics
Warehouse, sourcing, preparation, inspection, packaging, labeling, freight, and logistics services may involve independent suppliers, factories, warehouses, carriers, customs authorities, and other third parties.
Product cost, minimum order quantity, dimensions, weight, inspection, packaging, storage, duties, tax, freight, insurance, return handling, marketplace preparation, and delivery timing may change after physical review or third-party quotation.
- Planning calculators and preliminary estimates are not final quotations.
- Samples may differ from mass-production units within reasonable manufacturing tolerances.
- Inspection reduces risk but cannot guarantee that every unit is defect-free.
- Customer approval may be required before production, branding, packaging, or shipping.
- Risk of loss and title are determined by the written quotation, shipping terms, or applicable carrier terms.
Prices, Payments, Taxes, and Third-Party Fees
Prices are shown in the checkout, invoice, proposal, order summary, or written agreement. Unless clearly stated otherwise, prices do not include government charges, filing fees, marketplace fees, advertising spend, supplier costs, inventory, shipping, customs, duties, taxes, banking fees, payment-processor fees, software subscriptions, carrier fees, or other third-party charges.
Payment is due according to the applicable invoice or payment schedule. Forway may pause work, withhold delivery, suspend access, or cancel a service when an invoice is overdue, disputed without reasonable grounds, reversed, or subject to chargeback.
The Customer is responsible for applicable taxes and for any exchange-rate difference, transfer fee, intermediary-bank charge, or payment-processing cost unless Forway confirms otherwise in writing.
Cancellations, Refunds, and Chargebacks
Refund eligibility depends on the service type, service stage, work completed, resources reserved, and third-party costs already incurred. A cancellation request does not automatically create a right to a full or partial refund.
Completed work, approved milestones, consultation time, custom development, research, purchased inventory, samples, supplier payments, activated digital services, assigned digital products, government fees, filing fees, advertising spend, shipping labels, freight, duties, and other committed third-party costs are generally non-refundable.
Customers must contact Forway promptly to request a cancellation or correction. Unauthorized chargebacks or payment disputes may result in immediate suspension, collection action, and recovery of reasonable dispute-related costs.
Timelines, Delays, and Results
All timelines are estimates unless expressly identified as a guaranteed written deadline. Timelines may change because of Customer response time, revision requests, supplier schedules, government agencies, banking institutions, marketplaces, advertising platforms, carriers, customs, software providers, outages, verification, compliance reviews, or events outside Forway’s reasonable control.
Forway does not guarantee any particular financial, commercial, technical, legal, marketplace, approval, traffic, ranking, conversion, revenue, profit, or investment result.
Accounts, Credentials, Documents, and Security
Portal access, meeting links, reports, credentials, and shared documents are intended only for authorized users. You must protect login information, use multi-factor authentication when available, and notify Forway promptly of suspected unauthorized access.
Forway may use secure access methods, delegated user permissions, password managers, shared workspaces, or other reasonable systems. Customers should not provide unnecessary master credentials when safer role-based access is available.
Confidentiality and Data Handling
Each party may receive non-public business, technical, operational, financial, supplier, product, customer, account, or commercial information. The receiving party must use reasonable care and use the information only for the relevant service relationship.
Confidentiality obligations do not apply to information that is public without breach, already lawfully known, independently developed, properly received from another source, or legally required to be disclosed. Where legally permitted, the receiving party should provide reasonable notice of a required disclosure.
Website and service-related data may also be handled according to Forway’s applicable Privacy Policy and third-party provider policies.
Intellectual Property and Deliverable Rights
Forway retains ownership of its websites, brands, processes, templates, frameworks, source libraries, reusable components, internal tools, methods, know-how, documentation, and materials created independently of a Customer project.
After full payment, the Customer may use final deliverables specifically created and delivered for that Customer, subject to the written Service Scope, third-party licenses, open-source terms, platform rules, stock-asset licenses, and any stated limitations.
Customer Materials remain owned by the Customer or their respective owners. The Customer grants Forway a limited license to use those materials only as reasonably needed to provide the service.
Third-Party Platforms and Services
Many services require or interact with independent providers. Forway does not control their availability, pricing, policies, approvals, decisions, account actions, outages, delays, data practices, or service quality.
Use of a third-party service is also governed by that provider’s terms and policies. The Customer is responsible for maintaining required subscriptions, licenses, accounts, and payment methods unless included in writing.
Prohibited and Unlawful Use
You may not use Forway services to:
- Commit fraud, identity theft, deception, or payment abuse.
- Sell, advertise, source, or distribute unlawful or prohibited products.
- Misrepresent product origin, ownership, authorization, performance, or compliance.
- Infringe intellectual-property, privacy, publicity, consumer, or contractual rights.
- Evade platform enforcement, sanctions, legal restrictions, or verification requirements.
- Send unlawful spam, malicious software, phishing content, or harmful communications.
- Obtain unauthorized access to accounts, systems, documents, or personal information.
- Request Forway personnel to conceal unlawful conduct or provide false documentation.
Forway may refuse instructions that appear unlawful, deceptive, unsafe, abusive, unauthorized, or inconsistent with platform rules.
Suspension and Termination
Forway may suspend or terminate a service when reasonably necessary because of overdue payment, security risk, prohibited activity, abusive conduct, legal requirements, platform restrictions, misleading information, failure to cooperate, or material breach of these Terms.
The Customer may end an ongoing service according to the applicable notice period, proposal, invoice, or service agreement. Termination does not remove payment obligations for completed work, committed costs, notice periods, or non-cancellable third-party charges.
Disclaimers and No Professional Guarantee
To the maximum extent permitted by law, services are provided on an “as available” and professional-efforts basis. Forway does not warrant that every service will be uninterrupted, error-free, accepted by a third party, commercially successful, or suitable for every Customer’s purpose.
Unless expressly agreed in writing, Forway does not provide legal, tax, accounting, investment, financial, customs, medical, or regulatory advice. Customers should consult qualified professionals for advice specific to their circumstances.
Limitation of Liability
To the maximum extent permitted by applicable law, Forway will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages; lost revenue, profit, opportunity, goodwill, data, inventory value, advertising spend, or business interruption; third-party platform decisions; or events outside Forway’s reasonable control.
To the maximum extent permitted by law, Forway’s aggregate liability arising from a specific claim will not exceed the amount actually paid to Forway for the specific service that directly gave rise to the claim during the six months before the event, excluding taxes, pass-through costs, inventory, advertising spend, freight, government charges, and third-party fees.
Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.
Customer Indemnification
To the extent permitted by law, the Customer agrees to defend, indemnify, and hold harmless Forway, its personnel, and service partners from third-party claims, losses, penalties, or reasonable costs arising from Customer Materials, unlawful instructions, prohibited products, false statements, infringement, Customer policy violations, or the Customer’s breach of these Terms.
Force Majeure
Neither party is responsible for delay or failure caused by events beyond reasonable control, including natural disasters, fire, flood, epidemic, war, civil unrest, government action, sanctions, labor disruption, carrier interruption, customs delay, marketplace outage, cyberattack, utility failure, internet failure, or third-party service disruption.
Governing Law and Dispute Process
Insert the correct contracting entity, governing jurisdiction, venue, and any arbitration or mediation requirements after review by a qualified lawyer.
Before filing a formal claim, each party should provide written notice describing the dispute and allow at least 30 days for a good-faith attempt to resolve it, except where urgent injunctive relief or another immediate legal remedy is reasonably necessary.
Changes to Services and These Terms
Forway may update these Terms to reflect changes in services, operating practices, providers, laws, security requirements, or business needs. The current version will be published with an updated effective date.
Material changes apply prospectively unless law or urgent security requirements require otherwise. Continued use after an update becomes effective constitutes acceptance of the updated Terms.
Forway may also modify or discontinue a website feature or service. Existing paid orders will be handled according to the applicable Service Scope and legal requirements.
Notices and Contact Information
Questions, service complaints, cancellation requests, and legal notices should include the Customer’s name, order or invoice reference, relevant dates, and a clear description of the request.
